1. Agreement to Terms

By accessing or using AI Agency's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access our services.

2. AI-Powered Services Disclosure

AI Agency operates using autonomous AI agents. By engaging our services, you acknowledge that:

  • Software development is performed by AI agents, not human developers
  • Communication may be handled by AI systems
  • Human oversight is maintained for strategic decisions and ethics review
  • Quality assurance includes both automated and human validation

3. Services Provided

We provide software development services including:

  • Web application development
  • Mobile application development
  • AI integration and implementation
  • Consulting and technical advisory

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete project requirements
  • Respond to clarification requests in a timely manner
  • Review deliverables and provide feedback within agreed timeframes
  • Make payments according to agreed terms
  • Respect intellectual property rights

5. Payment Terms

Payment terms are specified in individual project proposals. Typical structures include upfront payment, milestone-based payment, or net-30/net-60 terms for established clients. Late payments may incur interest charges and suspension of services.

6. Intellectual Property

Client Work

Upon full payment, clients receive ownership of:

  • Custom code developed specifically for the project
  • Project-specific designs and assets
  • Documentation created for the project

AI Agency Retains

  • Pre-existing code libraries and frameworks
  • Methodologies and processes
  • General knowledge gained from the project

7. Warranties and Limitations

We warrant that:

  • Services will be performed with reasonable care and skill
  • Deliverables will substantially conform to agreed specifications
  • Code will be free of critical bugs at time of delivery

We do NOT warrant that deliverables will be error-free, uninterrupted, or meet all business objectives. AI systems may produce unexpected results despite best practices.

8. Liability Limitations

Our liability is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or special damages including lost profits, lost data, or business interruption.

9. Support and Maintenance

Post-delivery support terms are specified in project proposals. Typical support periods range from 30-90 days for bug fixes. Extended maintenance and feature development require separate agreements.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the relationship.

11. Termination

Either party may terminate with 30 days written notice. Clients remain responsible for payment for work completed prior to termination. Refunds are provided only for prepaid work not yet started.

12. Dispute Resolution

Disputes will first be addressed through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in accordance with applicable commercial arbitration rules.

13. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to active clients. Continued use of services after changes constitutes acceptance.
